1 Definitions and Interpretation
In these Terms and Conditions:
- "Victory Wellness" / "we" / "us" / "our" means Victory Travel Pte Ltd (UEN: 199501042K), operating the Victory Wellness wellness travel concierge division, with registered address at 11 Sam Leong Road #01-01, TRIO, Singapore 207903.
- "Client" / "you" / "your" means any individual or corporate entity that enquires about, engages, or uses Victory Wellness concierge services.
- "Concierge Services" means the wellness travel planning, programme matching, booking coordination, and related concierge services provided by Victory Wellness.
- "Retreat Partner" / "Provider" means any third-party wellness retreat, resort, spa, or programme operator to whom Victory Wellness refers clients or on whose behalf Victory Wellness arranges bookings.
- "Programme" means any wellness retreat experience, programme, or package operated by a Retreat Partner.
- "Booking" means a confirmed reservation made on your behalf with a Retreat Partner, airline, or accommodation provider.
- "Concierge Fee" means the service fee charged by Victory Wellness for the provision of Concierge Services, separate from and in addition to any Programme or travel costs.
2 Nature of Services — What Victory Wellness Does and Does Not Provide
2.1 Concierge and Agency Role
Victory Wellness acts as a wellness travel concierge and booking intermediary. We curate, recommend, and arrange bookings at third-party retreat facilities on your behalf. We do not own, operate, or control any retreat facility, wellness programme, spa, or accommodation. We are not responsible for the delivery, quality, or safety of programmes operated by Retreat Partners.
2.2 Non-Clinical, Non-Medical Services
Victory Wellness provides exclusively non-clinical, non-medical wellness travel concierge services. Our role is to match clients with appropriate wellness retreat experiences based on stated lifestyle goals and preferences.
Victory Wellness does not:
- Provide medical advice, clinical recommendations, diagnoses, or prescriptions
- Act as a healthcare provider, medical practitioner, nurse, physiotherapist, or any regulated health professional
- Assess or evaluate clinical suitability for any retreat programme
- Supervise, monitor, or take responsibility for any medical or clinical aspect of a retreat programme
- Make representations about health outcomes, recovery, or the suitability of any programme for a specific medical condition
Important Notice: Before participating in any wellness retreat programme, you are strongly advised to consult your medical practitioner or qualified healthcare provider to determine whether the programme is appropriate for your individual health status, including any pre-existing medical conditions. Victory Wellness assumes no responsibility for any adverse health outcomes arising from retreat participation.
2.3 Programme Content Responsibility
All wellness programmes — including their content, facilities, instructors, therapists, dietary protocols, fitness activities, and health-related components — are the sole responsibility of the Retreat Partner operating the programme. Victory Wellness makes no warranties as to the accuracy, completeness, or fitness for purpose of any information provided by Retreat Partners.
3 Booking Process and Confirmation
3.1 Enquiry and Proposal
An enquiry to Victory Wellness does not constitute a booking or binding contract. Following your enquiry, we will provide a non-binding programme proposal. You are under no obligation to proceed.
3.2 Confirmation of Booking
A binding booking is created only when: (a) you have confirmed your acceptance of the programme proposal and associated costs in writing; (b) we have received the required deposit or full payment; and (c) we have confirmed the booking with the relevant Retreat Partner in writing.
3.3 Accuracy of Information
You are responsible for ensuring that all personal information, travel document details, and preferences provided to Victory Wellness are accurate and complete. Victory Wellness accepts no liability for booking errors or losses arising from inaccurate information provided by the Client.
4 Fees and Payment
4.1 Concierge Service Fee
A Concierge Fee is charged for the planning, curation, and coordination services provided by Victory Wellness. The applicable Concierge Fee will be set out in your written booking confirmation or proposal. The Concierge Fee is non-refundable once programme planning has commenced, except as otherwise provided in these Terms.
4.2 Programme and Travel Costs
In addition to the Concierge Fee, you are responsible for all Programme costs charged by the Retreat Partner, airline fares, accommodation costs, and any other travel-related expenses. These costs are set by third-party providers and are subject to the pricing, availability, and terms of those providers.
4.3 Third-Party Commissions
Victory Wellness receives referral commissions from Retreat Partners, airlines, and accommodation providers. The existence and approximate range of such commissions is disclosed to you prior to booking in accordance with the Consumer Protection (Fair Trading) Act (Cap. 52A) of Singapore. Commission receipt does not create any obligation on Victory Wellness to recommend a particular provider over a more suitable alternative.
4.4 Payment Terms
Payment terms, deposit requirements, and accepted payment methods will be specified in your booking confirmation. Failure to make payment by the stipulated dates may result in cancellation of your booking and forfeiture of deposits paid to Retreat Partners.
4.5 Currency
Unless otherwise stated, all prices are quoted in Singapore Dollars (SGD). For international clients, currency conversion rates and banking charges are the responsibility of the Client.
5 Cancellation and Refund Policy
5.1 Client Cancellation
Cancellation policies for retreat programmes are set by individual Retreat Partners and will be communicated to you in writing prior to booking. These policies are binding and form part of your booking. Cancellation charges imposed by Retreat Partners are the responsibility of the Client.
Victory Wellness Concierge Fee cancellation terms:
- Cancellation before programme planning commences: full refund of Concierge Fee within 14 days
- Cancellation after programme planning has commenced but before booking confirmation: 50% of Concierge Fee retained
- Cancellation after booking confirmation: Concierge Fee is non-refundable
5.2 Retreat Partner Cancellation
In the event that a Retreat Partner cancels or materially alters a programme, Victory Wellness will use reasonable efforts to secure a refund or alternative arrangement on your behalf. Victory Wellness is not liable for any losses arising from Retreat Partner cancellations beyond the amounts that Retreat Partners are contractually obligated to refund.
5.3 Force Majeure
Neither Victory Wellness nor the Client shall be liable for failure or delay in performance of obligations to the extent caused by circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, civil unrest, war, or airline disruption. In such circumstances, Victory Wellness will use reasonable endeavours to assist in rescheduling or obtaining refunds from Retreat Partners, subject to those partners' applicable policies.
6 Health, Fitness, and Participation
6.1 Your Responsibility to Disclose
Prior to confirming any booking, you are responsible for disclosing to the Retreat Partner any pre-existing medical conditions, physical limitations, pregnancy, allergies, or other health factors that may affect your safe participation in the programme. Victory Wellness is not a healthcare provider and cannot assess clinical suitability. Disclosure should be made directly to the Retreat Partner's medical or programme team.
6.2 Medical Clearance
You are strongly advised to obtain medical clearance from your doctor or qualified healthcare provider before participating in any wellness retreat programme, particularly programmes involving physical activity, dietary restriction, fasting, detoxification, or any activity that may be contraindicated for certain medical conditions.
6.3 Participation at Your Own Risk
Your participation in any wellness retreat programme is entirely voluntary and at your own risk. Victory Wellness accepts no responsibility for any injury, illness, adverse health event, or other negative outcome arising from retreat participation. All health-related decisions during your retreat are your responsibility and that of the Retreat Partner's qualified staff.
6.4 Travel Insurance
Victory Wellness strongly recommends that all clients obtain comprehensive travel insurance covering trip cancellation, medical expenses (including emergency medical evacuation), personal accident, and baggage loss prior to departure. Victory Wellness does not provide travel insurance and accepts no liability for losses that would have been covered by appropriate insurance.
7 Limitation of Liability
7.1 Scope of Liability
To the maximum extent permitted by Singapore law, Victory Wellness's liability to you for any claim arising out of or in connection with the Concierge Services is limited to the amount of the Concierge Fee paid by you to Victory Wellness for the relevant booking.
7.2 Exclusions
Victory Wellness shall not be liable for:
- Any act, omission, negligence, or breach of duty of any Retreat Partner, airline, accommodation provider, or other third-party service provider
- Any personal injury, illness, death, loss, damage, or expense suffered during or in connection with a retreat programme
- Loss of enjoyment, disappointment, distress, or any indirect, consequential, or special losses
- Any failure or delay in service delivery caused by circumstances beyond our reasonable control
- Any health outcome, improvement, or deterioration associated with retreat programme participation
- Inaccurate, incomplete, or misleading information provided by Retreat Partners or other third parties
7.3 Consumer Protection
Nothing in these Terms limits any rights you may have under the Consumer Protection (Fair Trading) Act (Cap. 52A) of Singapore, the Singapore Tourism (Cess Collection) Act, or any other applicable Singapore consumer protection legislation that cannot be excluded by agreement.
8 Intellectual Property
All content produced by Victory Wellness — including written proposals, itinerary documents, programme comparisons, marketing materials, and website content — is the intellectual property of Victory Travel Pte Ltd. You may not reproduce, distribute, or commercially exploit any Victory Wellness materials without prior written consent.
9 Confidentiality
Both parties agree to maintain in confidence any proprietary or sensitive information disclosed in the course of the booking relationship. Victory Wellness will handle your personal data in accordance with our Privacy Policy. You agree not to disclose Victory Wellness's pricing structures, partner commission rates, or commercially sensitive programme terms to third parties.
10 Corporate Clients
10.1 Authority to Contract
Where a booking is made by a corporate entity, the individual making the booking warrants that they have authority to bind the corporate entity to these Terms and Conditions.
10.2 Employee Participation
Where a corporate client books wellness programmes for employees, the corporate client is responsible for ensuring that employee participation is voluntary, that employees are informed of the nature and content of programmes, and that employees have had the opportunity to obtain medical clearance if appropriate.
10.3 Corporate Wellness Retainers
Where a corporate retainer arrangement is agreed, the specific terms — including retainer fee, scope of services, payment schedule, and termination — will be set out in a separate written agreement. These Terms apply to the extent they are not superseded by that agreement.
11 Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Singapore.
Before commencing formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days from written notice of the dispute.
12 Amendments to These Terms
Victory Wellness reserves the right to amend these Terms and Conditions at any time. The current version will be available on our website and provided to clients upon request. Your continued engagement of Victory Wellness services following notification of amendments constitutes acceptance of the revised Terms.
13 Severability
If any provision of these Terms is held to be invalid, unenforceable, or illegal under Singapore law, that provision shall be severed from these Terms without affecting the validity of the remaining provisions.
14 Entire Agreement
These Terms and Conditions, together with the Privacy Policy and any written booking confirmation or engagement letter provided to you, constitute the entire agreement between Victory Wellness and the Client in relation to the Concierge Services and supersede all prior representations, discussions, or arrangements.
